Agreement for Sale and Purchase
According to the terms and conditions of this agreement, the Business agrees to deliver digital photos to the Client, and the Client agrees to pay for and accept these goods. The Client will be assumed to have accepted the Goods unconditionally unless a claim that the Good(s) are defective is made within 3 days from the date of delivery.
Deposits, Invoices, & Payment Methods
The Business will invoice the Client after booking the Project unless otherwise noted in the Payment schedule. The Client agrees to pay a non- refundable deposit of no more than 50% of the invoice by the due date(s) specified and the remaining balance is due on or before the specified due date. Unpaid or overdue invoices may result in the suspension or termination of the Project. Payment will be made to the Business via cash, an approved payment card, cash app, PayPal, Zelle, or by any other payment method determined by the Business.
Delivery Schedule & Delays
The Business will deliver the described goods (edited digital photos) to the Client within 7-14 business days after services have been rendered. The Business will deliver semi-edited proofs to the Client within 5 business days after the photo session. The Client will have up to 5 business days to select their images after the delivery of proofs. The Business will complete the image selection process if the Client's image selection has not been completed. The Business will notify the Client of any delays that may affect the expected delivery date.
Late Arrival Fee
The Client is to arrive 5-10 minutes prior to the session. A $25 late fee will be assessed if you are between 15-20 minutes late. If you are more than 20 minutes late, the Business reserves the right to cancel the session. The late fee must be paid at the time services are rendered. If indoor studio sessions exceed the time booked due to late arrival, the Client will be responsible for paying additional studio fees.
Rescheduling
Photo sessions can be rescheduled up to 48 hours prior to your session time with no penalty. A rescheduling fee of $25 will be assessed thereafter. Fee not applicable if the session is canceled due to weather or the photographer canceling. This being said, the photographer cannot be held responsible for the weather. If the weather is not acceptable to the client, but not a cause to reschedule, all standard rescheduling fees apply otherwise the session is forfeited as a cancellation. Sessions can be rescheduled by phone, text message, or email prior to the session date. Same-day rescheduling must be done by phone or text message on the day of the session. For indoor studio sessions, the Business will follow the cancellation policy for the studio that was booked.
Modifications and/or Termination of Project
To change anything in this Contract, the Client and the Business must agree to the change in writing. If one of the parties chooses to end the Agreement prior to product delivery, the Client is responsible for paying for all work and costs incurred up until that date.
Social Media
The Client gives the Business permission to use the photos taken to print brand-related items (photos, logos, contracts, marketing materials, etc). The Business has the Client’s consent to use photos for advertising, and social media (e.g. Facebook, Instagram, Website, etc). Furthermore, the Client understands that no royalty, fee, or other compensation shall become payable to me by reason of such use.
Photograph Release
The Business grants permission to the Client to reproduce photo image(s) that have been taken during the photo session outlined in this contract for the purpose of SELF-USE and or SELF-PROMOTION publications which can include but are not limited to books, cards, invitations, and websites; including social media without any more compensation given to the Business. Furthermore, The Business DOES NOT grant permission to alter, resale, or use the photographs in a manner that would exploit and or cause malicious representation toward the Business and its associates.
